By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, please do not use the Platform.

1. Description of the Platform

Tradeophecy^® is a self-directed, customizable investment recommendation engine designed as a software tool for personal use. The Platform allows users to configure their own investment strategy parameters, run market screeners, evaluate securities using technical indicators, and manage information about their investment portfolios across multiple financial institutions.

Tradeophecy is a technology platform and software-as-a-service (SaaS) tool only. It is not a registered broker-dealer, investment adviser, financial planner, or any other type of financial professional or regulated entity under the laws of the United States or any other jurisdiction.

3. Required Investment Strategy Configuration

Because the Platform is designed as a fully customizable, self-directed investment recommendation engine, you are required to define and configure your personal investment strategy before you can use the Platform's core features. Upon registration and throughout the life of your account, you must define and maintain the following:

• Your investment experience level;
• Your personal recommendation engine sensitivity settings and thresholds for each supported technical indicator (e.g., RSI, MACD, ADX, VWAP, Moving Averages, Bollinger Bands, MFI, RVOL, and others);
• Your preferred ordering and weighting of recommendation factors;
• Any other strategy configuration required by the Platform as it evolves.

The Platform makes no assumptions about your investment strategy on your behalf. All recommendation outputs from the Platform are based exclusively on your own configured parameters. Tradeophecy LLC does not make investment recommendations, and the outputs of the recommendation engine reflect only the application of your chosen technical analysis parameters to available market data.

4. Eligibility

You must be at least 18 years of age to use the Platform. By using the Platform, you represent and warrant that you are 18 years of age or older and have the legal capacity to enter into a binding agreement.

5. Account Registration

You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use of your account.

6. Subscription Plans and Billing

Tradeophecy offers subscription-based access to the Platform. By selecting a subscription plan, you agree to the following:

• Free Trial: Certain plans may include a limited free trial period (currently 7 days). After the trial period ends, your selected subscription will automatically begin and your payment method will be charged at the applicable rate unless you cancel before the trial expires.
• Recurring Billing: Subscriptions are billed on a recurring monthly basis unless otherwise stated. By subscribing, you authorize Tradeophecy LLC and its payment processor, Stripe, Inc., to charge your payment method on a recurring basis at the then-current subscription rate.
• Cancellation: You may cancel your subscription at any time through your account settings or by contacting us at support@tradeophecy.com. Cancellation will take effect at the end of the current billing period. Tradeophecy LLC does not provide refunds for partial subscription periods except as required by applicable law.
• Price Changes: We reserve the right to change subscription pricing at any time. We will provide reasonable advance notice of any price changes by email or through the Platform. Your continued use of the Platform after a price change takes effect constitutes acceptance of the new pricing.
• Payment Processing: All payments are processed by Stripe, Inc. By providing payment information, you also agree to Stripe's Services Agreement and Stripe's Privacy Policy.
• Taxes: You are responsible for all applicable taxes associated with your subscription, unless Tradeophecy LLC is required by law to collect and remit such taxes.

7. Acceptable Use

You agree not to:

• Use the Platform for any unlawful purpose or in violation of applicable laws or regulations;
• Attempt to reverse engineer, decompile, or otherwise extract the source code of the Platform;
• Interfere with or disrupt the Platform or servers or networks connected to the Platform;
• Use automated tools to scrape, crawl, or harvest data from the Platform without our written consent;
• Impersonate any person or entity or misrepresent your affiliation with any person or entity;
• Share your account credentials with third parties or allow others to access the Platform through your account.

8. Intellectual Property and Trademark

The name "Tradeophecy^®" and all related logos, trademarks, service marks, and trade dress are the exclusive property of Tradeophecy LLC. All rights in and to the Tradeophecy trademark and brand are reserved by Tradeophecy LLC. Unauthorized use of the Tradeophecy name, logo, or any confusingly similar mark is strictly prohibited and may constitute trademark infringement under applicable law.

All content, software, code, algorithms, designs, text, graphics, and other materials on the Platform are the intellectual property of Tradeophecy LLC or its licensors and are protected by applicable copyright, trademark, trade secret, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works of any Platform content without our prior written consent.

9. Third-Party Data and Services

The Platform integrates with third-party data providers, financial data services, AI providers, brokerage connectivity services (such as Plaid), and other third-party services to deliver its features. Tradeophecy LLC is not responsible for the accuracy, completeness, timeliness, or reliability of any third-party data or services. Market data, news, financial information, and technical indicator data are provided "as is" for informational purposes only.

10. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. TRADEOPHECY LLC DOES NOT WARRANT THAT ANY INFORMATION PROVIDED THROUGH THE PLATFORM IS ACCURATE, COMPLETE, OR CURRENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRADEOPHECY LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, INVESTMENT LOSSES, TRADING LOSSES, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM, EVEN IF TRADEOPHECY LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL TRADEOPHECY LLC'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM EXCEED THE AMOUNTS PAID BY YOU TO TRADEOPHECY LLC IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Tradeophecy LLC and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Platform, your violation of these Terms, or your violation of any applicable law or the rights of any third party.

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to its conflict of law principles. Any disputes arising under or in connection with these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect its intellectual property rights.

14. Modifications to These Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated by updating the "Last Updated" date and, where appropriate, by notifying you via email or through the Platform. Your continued use of the Platform after any changes constitutes your acceptance of the updated Terms.

15. Termination

We reserve the right to suspend or terminate your access to the Platform at any time for violation of these Terms or for any other reason at our discretion, with or without notice. Upon termination, all licenses granted to you under these Terms will immediately cease.
